I`d like to import one image on top of another, fade the first image, and make the top layer transparent. How do I do that?

Look at the layer pallete. There's a box with Opacity above it. Click on the arrow and drag or type in a %. If you wanted it to have 1/2 transparency, you would do 50%, etc.
